By accessing our website or purchasing our Services, you agree to be bound by these Terms. If you do not agree, please do not use our platform or purchase our Services.

1. Services and Account Security

• Eligibility: You must be at least 18 years old or the legal age of majority in your jurisdiction to use our Services.
• Account Registration: To access certain features, you must create an account. You are solely responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.
• Service Scope: Specific technical deliverables, timelines, and fees will be detailed in individual agreements or Statements of Work (SOW), which are incorporated into these Terms by reference.

2. Billing, Payments, and Fees

• Pricing & Currency: All fees are stated and processed exclusively in United States Dollars (USD).
• Payment Terms: You agree to provide a valid payment method. By submitting your payment information, you authorize us to charge applicable fees through our third-party payment processor, Stripe.
• Late Payments: Failure to make timely payments may result in immediate suspension or termination of your access to active code repositories, cloud hosting, or support channels.

3. Intellectual Property Rights

• Our Ownership: We retain all rights, titles, and interests in our website, proprietary tools, pre-existing code libraries, and platform software.
• Deliverables: Upon full and final payment of all outstanding invoices, ownership of custom software deliverables developed explicitly for you under a signed agreement will transfer to you, subject to any pre-existing open-source or proprietary licenses.

4. Limitation of Liability and Indemnification

• Disclaimer: Our Services are provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied.
• Limitation: To the maximum extent permitted by US law, T Service Squad shall not be liable for any indirect, incidental, special, or consequential damages, including loss of data, profits, or business continuity. Our total aggregate liability shall not exceed the amount paid by you during the three months preceding the claim.
• Indemnification: You agree to indemnify and hold harmless T Service Squad from any claims, losses, or liabilities arising from your violation of these Terms or misuse of the Services.

5. Governing Law and Dispute Resolution

These Terms shall be governed by, interpreted, and enforced in accordance with the laws of the United States and the State in which T Service Squad is legally organized, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located within that jurisdiction.
